Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Prana Pearls Inc. ("Prana Pearls," "we," "us," or "our"), a Florida corporation, governing your use of pranapearls.com (the "Site") and your purchase of products from us (the "Products"). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site. Our Privacy Policy (including its Cookies and California Privacy sections) and our Shipping & Returns policy (including the craftsmanship warranty) are incorporated into these Terms by reference.

1. Eligibility

The Site is intended for users who are at least 18 years old. By placing an order, you represent that you are at least 18, have the legal capacity to enter a binding contract, and that all information you provide is true, accurate, current, and complete.

2. Products and Natural Variation

Every Prana Pearls piece features natural cultured pearls set in 18-karat gold and finished by hand. Pearls are organic gems formed by living oysters, and no two are identical.

Color, overtone, shape, and luster vary. Tahitian and South Sea pearls display natural variation in body color, overtone, shape, and surface characteristics. The piece you receive matches the quality and grade photographed, but its exact coloration is unique to your pearls.
Display accuracy. We photograph our jewelry as faithfully as possible, but we cannot guarantee your screen renders colors exactly as they appear in person.
Measurements. Pearl sizes are stated in millimeters and are approximate, as is inherent to natural gems.

These variations are characteristics of genuine pearls, not defects, and are not grounds for a warranty claim.

All Products are subject to availability. Because pieces are made in limited quantities by hand, we cannot guarantee any item will remain in stock, and we may discontinue Products at any time.

3. Orders and Acceptance

Your order is an offer to purchase. We reserve the right to accept, limit, or decline any order for any reason, including suspected fraud, pricing or inventory errors, or orders that appear to be placed by resellers, dealers, or automated means. An order is accepted when we send a shipping confirmation. If we cancel an order after payment, you will receive a full refund promptly.

Pricing errors. Despite our best efforts, a Product may occasionally be listed at an incorrect price due to typographical or system error. We reserve the right to correct pricing errors and to cancel and refund any order placed at an erroneous price, even after order confirmation or payment.

15. Governing Law, Venue, and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION. IT CONTAINS A 30-DAY OPT-OUT RIGHT.

15.1 Governing law. These Terms and any dispute arising from them, from your use of the Site, or from any Product you purchase are governed by the laws of the State of Florida, without regard to conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of this Section 15.

15.2 Talk to us first. Before initiating arbitration or any other proceeding, you agree to email info@pranapearls.com describing the dispute and give us 30 days to resolve it informally. We will do the same before bringing a claim against you. Nearly every problem is fixed faster by an email than a filing fee, and this step is a genuine attempt at resolution, not a formality.

15.3 Agreement to arbitrate. If we cannot resolve the dispute informally, you and Prana Pearls Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Product will be resolved by final and binding individual arbitration, rather than in court, except as provided in Section 15.4.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org. The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award the same individual relief a court could, including statutory damages and attorneys' fees where a statute provides for them.

Arbitration will take place in the county where you reside, or, at your election, by telephone, videoconference, or on written submissions only. You will never be required to travel to Florida to arbitrate. Payment of filing, administration, and arbitrator fees is governed by the AAA Consumer Arbitration Rules, which place most of that cost on us.

15.4 What is excluded from arbitration. This agreement to arbitrate does not apply to:

Small claims. Either party may bring an individual claim in small claims court, in your county of residence or ours, if the claim qualifies under that court's rules and stays in that court. Most customer disputes belong here, and it is usually the fastest and cheapest path for both of us.
Intellectual property. Either party may seek injunctive or other equitable relief in court to protect intellectual property rights, including trademark, copyright, and trade secret claims.

15.5 Individual claims only; class action waiver. YOU AND PRANA PEARLS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

If a court decides that this class action waiver is unenforceable as to a particular claim or request for relief, then that claim or request must proceed in court and is severed from arbitration, while all other claims remain in arbitration. If Section 15.5 is found unenforceable in its entirety, then the entire agreement to arbitrate in Section 15.3 is void as to the affected dispute.

15.6 Your right to opt out. You may opt out of this arbitration agreement and class action waiver within 30 days of your first order or of first accepting these Terms, whichever is earlier. To opt out, email info@pranapearls.com with the subject line "Arbitration Opt-Out" and include your full name, the email address on your order, and a statement that you are opting out of arbitration. That is all it takes. Opting out will not affect your order, your pricing, your warranty, or how we treat you in any way. If you opt out, Section 15.7 governs your disputes.

15.7 Court proceedings. For any dispute not subject to arbitration, including disputes brought by anyone who has opted out under Section 15.6, you and Prana Pearls consent to exclusive jurisdiction and venue in the state and federal courts located in Broward County, Florida, and each party waives any objection to personal jurisdiction or venue there.

15.8 Survival. This Section 15 survives termination of these Terms and the end of your relationship with Prana Pearls.
